Terms of Service

Effective Date: April 1, 2026

These Terms of Service ("Terms") govern your access to and use of the Ascend Strategic Command Center for Microsoft 365 platform ("Service"), operated by Aneva LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Ascend is an enterprise productivity platform that integrates with Microsoft 365 to provide:

  • AI-powered email classification, prioritization, and summarization
  • Two-way task management synchronized with Microsoft To Do
  • Calendar scheduling with intelligent meeting suggestions
  • KPI tracking aligned with daily workflows
  • Organization knowledge base with AI-powered retrieval
  • AI assistant for email composition, task creation, and meeting scheduling
  • Actionable notifications and distribution list processing

The Service requires an active Microsoft 365 subscription (Business Basic, Office 365 E1, Microsoft 365 F3, or Microsoft 365 E3+) and organization-level consent for Microsoft Graph API access.

2. Account & Access

2.1 Authentication

Access to Ascend is provided exclusively through Microsoft Entra ID (formerly Azure AD) single sign-on. You must have a valid Microsoft 365 account within a subscribed organization to use the Service. We do not offer username/password authentication.

2.2 Organization Subscription

Ascend is licensed on a per-organization basis. Your organization's administrator is responsible for:

  • Granting Microsoft Graph API consent for the organization
  • Managing user access and roles within Ascend
  • Configuring knowledge base content and notification settings
  • Maintaining directory synchronization with Microsoft Entra ID

2.3 Administrative Roles

Ascend supports a tiered role-based access control (RBAC) system. Your organization's administrators determine which users have access to administrative features. You agree to use administrative access only for its intended purpose and within the scope of your assigned permissions.

3. Acceptable Use

You agree not to:

  • Attempt to access data belonging to other organizations or users outside your authorized scope
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malicious content, spam, or unauthorized bulk communications
  • Circumvent or attempt to circumvent authentication, authorization, or security controls
  • Use the AI features to generate content that is illegal, harmful, misleading, or violates third-party rights
  • Upload documents to the knowledge base that contain malware, personally identifiable information of third parties without consent, or content that violates applicable law
  • Interfere with the Service's operation, performance, or availability for other users
  • Use automated tools (bots, scrapers, crawlers) to access the Service except as explicitly authorized

4. Microsoft 365 Integration

4.1 Graph API Permissions

Ascend accesses your Microsoft 365 data through the Microsoft Graph API. By using the Service, you acknowledge that Ascend will read and write data across your authorized Microsoft 365 services (Outlook, To Do, Calendar, Contacts) as necessary to deliver its features.

4.2 Data Synchronization

Ascend maintains two-way synchronization with Microsoft To Do and Calendar. Changes made in Ascend will be reflected in your Microsoft 365 environment and vice versa. Task deletions, completions, and schedule changes are synchronized in near real-time.

4.3 Microsoft Terms

Your use of Microsoft 365 services accessed through Ascend remains subject to Microsoft's own terms of service and privacy policies. Ascend is an independent product and is not endorsed by, affiliated with, or sponsored by Microsoft Corporation.

5. AI Features

5.1 AI-Generated Content

Ascend uses enterprise-grade AI services to provide AI-powered features including email classification, task suggestions, meeting scheduling, and knowledge base retrieval. AI-generated content is provided as suggestions and should be reviewed before acting upon it. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated outputs.

5.2 Enterprise Guardrails

Ascend's AI features include enterprise guardrails such as input sanitization, rate limiting, and content filtering. Attempts to bypass these safeguards constitute a violation of these Terms.

5.3 Knowledge Base

Documents uploaded to the knowledge base are processed, indexed, and made available for AI-powered retrieval within your organization only. You are responsible for ensuring that uploaded content complies with applicable laws and does not infringe third-party intellectual property rights.

6. Data Ownership & Intellectual Property

6.1 Your Data

You retain all rights to data you provide to or generate through the Service, including Microsoft 365 data, uploaded documents, and user-created content. We claim no ownership over your data.

6.2 Our Platform

The Service, including its design, code, AI models, algorithms, branding, and documentation, is the intellectual property of Ascend. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the subscription term.

6.3 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, we may use it to improve the platform without obligation to you.

7. Service Availability & Support

7.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including Microsoft 365 outages, Azure service disruptions, or force majeure events).

7.2 Modifications

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that affect your use of the platform. Continued use of the Service after changes constitutes acceptance of the modified terms.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory
  • We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
  • Our total liability for any claims arising from or related to the Service shall not exceed the fees paid by your organization in the twelve (12) months preceding the claim
  • We are not responsible for actions taken based on AI-generated suggestions, email classifications, priority assessments, or automated task creation

9. Indemnification

You agree to indemnify, defend, and hold harmless Aneva LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service in violation of these Terms
  • Content you upload to the knowledge base
  • Your violation of any applicable law or regulation
  • Your organization's failure to maintain appropriate Microsoft 365 licensing

10. Termination

  • By You: Your organization may terminate the subscription at any time by contacting us. Upon termination, access to the Service will be revoked and your data will be deleted in accordance with our Privacy Policy.
  • By Us: We may suspend or terminate access to the Service if you violate these Terms, if your organization's subscription lapses, or if continued provision is impractical due to legal or regulatory requirements.
  • Effect: Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 9, and 12 survive termination.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date and, where appropriate, by notifying your organization's administrators. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from or relating to these Terms or the Service shall be resolved in the courts of competent jurisdiction.
